An Upstate New York Commercial Plumbing Business Sold to a PE Firm

Industry: Commercial Plumbing
Location: Upstate New York
Transaction Type: Full Asset Sale — Sell-Side Advisory
Status: Closed

A founder who had spent nearly two decades building one of the most respected plumbing businesses in this Upstate New York market was ready to move on. He wanted to relocate to be closer to family, and he wanted to do it on his terms, with fair value, a structured transition, and a buyer who would protect what he had built.

What followed was a creative, multi-component deal that reflected the genuine quality of the business: a $4.4M total consideration, structured with $3M in cash at closing, a $1M seller note, and an additional $400K deferred payment for the remaining equity stake, all with the seller transitioning into a salaried employment role for a defined period post-close.

The buyer was a private equity firm with a mandate to acquire stable, cash-flowing home services businesses and scale them through operational investment.

This case study walks through the business, what made it exceptional, how the deal was structured, and what it took to get it across the finish line.

Upstate New York Commercial Plumbing Company: History & Growth

The business was founded nearly 20 years ago and had grown into one of the most well-regarded plumbing operations in the area, servicing dozens of major franchisors and national brands.

The founder owned 100% of the business and had made deliberate, disciplined decisions throughout his ownership that kept profitability unusually high. He had started with both plumbing and HVAC services but made a strategic choice over time to focus almost exclusively on plumbing, because the margins were better and the work was more predictable. He also made the unconventional decision to consistently decline new construction and large retrofit bids, preferring the high-margin, repeat-service nature of commercial maintenance work.

By the time the sale process began, the business was generating roughly $1.8M in revenue with an Adjusted EBITDA approaching $860K, a margin profile that is extraordinary for a trade services business of this size, and one that needed to be carefully documented and explained to buyers.

The founder’s goal was to move to Florida to be with his kids and grandchildren. He was not in a rush, was willing to stay involved through a meaningful transition period, and was clear that he wanted the business in the hands of someone who understood its value and would invest in continuing to grow it.

What Made the Business Exceptional

This was not a typical plumbing company. A few characteristics set it apart in a way that made it genuinely compelling to the right buyer, and specifically to a PE firm with a home services acquisition thesis.

A margin profile that almost no trade business can match. Generating close to $860K in Adjusted EBITDA on roughly $1.8M in revenue means this business was running at margins at ~50%. That is not a normal outcome in a plumbing business. It is the result of nearly two decades of deliberate decision-making: saying no to low-margin project work, staying focused on high-frequency maintenance and repair, and running a lean operation with tight cost discipline. For a PE buyer looking for quality of earnings, this margin profile was the headline.

A customer base that is the envy of any service business. The company had accumulated over 24,000 past customers, a mix of commercial accounts with major franchise systems and residential clients built up over nearly 20 years. The commercial side alone, with ongoing service relationships, represented a recurring revenue engine that did not depend on any single client. The residential database of 24,000+ contacts represented an entirely untapped cross-sell opportunity for HVAC services, which the company had historically provided and could easily reactivate.

Revenue stability through every economic cycle. The P&L showed consistent performance through the 2008 financial crisis, through COVID, and through every market disruption in between. That is not a coincidence, it is what happens when your revenue base is built on maintenance and repair work for commercial clients with no choice but to keep their facilities operational. Leaky pipes don’t wait for economic recoveries.

A deliberate growth ceiling the new owner gets to remove. The founder was turning away new construction RFPs on a regular basis. He was not offering HVAC services despite having the capability. He was spending less than 5% of revenue on advertising against an industry norm of closer to 10%. Every one of those decisions was the right call for a founder who wanted to maximize his own time and profitability and every one of them represents immediate, low-hanging-fruit revenue growth for an operator willing to flip the switch.

Operations that run without the owner in the field. By the time of sale, the founder was running the business entirely from his computer, reviewing and authorizing invoices, pricing larger jobs, and providing technical support to technicians when needed. Two office staff handled all admin, bookkeeping, and customer support. Five full-time technicians ran all field operations, supplemented by 3–5 subcontractors on larger projects. Both office staff committed to staying with the business post-close. For a PE buyer building a platform, a business this operationally independent at this revenue and margin level is rare.

Exceptional reputation across every review platform. With a nearly 5-star Google rating, strong scores on HomeAdvisor and Networx, and Better Business Bureau accreditation, this company’s online presence reflected decades of consistent, high-quality service delivery. In trade services, reputation is infrastructure. This company had built one of the best in its market.

The Financials

The financial picture was one of the most distinctive elements of this deal. Revenue had been remarkably stable across a multi-year period, holding steady through COVID and economic disruptions that derailed many businesses. The owner’s margin discipline was the driver.

The revenue line reflects the owner’s intentional narrowing of the business toward only the highest-margin work. The Adjusted EBITDA trajectory tells the real story: even as revenue was managed down by design, profitability stayed strong. The most recent full year showed roughly $1.8M in revenue against nearly $860K in Adjusted EBITDA.

A note on the financials: The P&Ls required careful reconstruction. The owner had been running a significant volume of personal expenses through the business — vehicles, personal compensation, and a range of owner-specific costs — and had also received payments for business work via personal cheques that did not flow through the company’s formal accounts. All of it was documented, line by line, with backup available for audit. The Adjusted EBITDA figures reflected a complete addback of owner compensation and personal expenses, and an inclusion of the payments received via personal cheques that represented legitimate business revenue. Every number had a paper trail.

The Deal Structure

This is where the transaction got interesting.

The business was listed at $4M. The winning offer, from a PE firm, came in at $4.4M in total consideration, structured in a way that addressed both sides’ needs with precision.

Structure:

• $3M cash at closing
• $1M seller note — amortized at 7.5% over 3 years, with a balloon payment due at the end of year 3
• $400K deferred payment — due 24 months post-close for the remaining 10% equity stake retained by the seller at closing
• Seller employment — the founder transitioned into an employee of the acquiring entity at a salary of $150K per year for a 24-month transition period

The equity structure was notable: the buyer acquired 90% of the business at closing, with the seller retaining 10% for 24 months until the deferred payment completed the full transfer. This gave the seller continued alignment with the business’s performance during the transition, gave the buyer a meaningful transition period with the founder actively engaged, and created a clean, time-bound path to 100% ownership.

For the seller, this structure delivered:

• Immediate cash at closing
• A defined income stream from the seller note
• A salary during the transition period
• A final payout completing the exit 24 months later
• Total consideration exceeding the original asking price by $400K

For the PE buyer, the structure:

• Reduced the upfront cash required at close
• Aligned the seller’s incentives with business performance during the transition
• Gave them access to the founder’s relationships and institutional knowledge while building their own operational infrastructure
• Created a clear path to full ownership on a known timeline

Total consideration: $4.4M
Cash at close: $3M
Seller note: $1M at 7.5% / 3-year balloon
Deferred equity payment: $400K at month 24
Seller salary during transition: $150K/year

About the Buyer

The buyer’s identity was kept confidential pursuant to the transaction agreement.

The buyer was a private equity firm with a commercial services acquisition strategy. Their thesis was straightforward: acquire profitable, founder-operated trade service businesses with strong local market positions, install operational infrastructure, and scale through a combination of organic growth initiatives and add-on acquisitions.

This business fit that mandate precisely. The profitability was real and well-documented. The customer base — 24,000+ accounts, including ongoing commercial relationships with national franchise chains — gave the buyer an immediate platform. The HVAC reactivation opportunity, the untapped new construction market, and the room to increase advertising spend from below 5% toward a more typical 10% of revenue represented three distinct, near-term growth levers the buyer could pull independently of any integration complexity.

The seller note structure was consistent with PE acquisition norms and reflected the buyer’s confidence in the business’s forward cash flow, they were willing to be paid back from the business itself over three years.

What the Transaction Required

A business with this margin profile and this financial complexity does not simply present itself. Getting a buyer to $4.4M on a business doing $1.8M in revenue required specific, careful work.

Reconstructing and documenting the true earnings picture. The P&Ls as filed did not tell the whole story. Owner compensation had been distributed across multiple line items. Payments for business work received via personal cheques were not reflected in the company’s formal revenue figures. Personal expenses — vehicles, insurance, personal devices — were embedded throughout. Every one of those items was identified, categorized, and documented with backup. The resulting Adjusted EBITDA figure was not an estimate — it was a line-by-line reconstruction that any buyer or lender could verify independently. That documentation is what made a ~50%+ EBITDA margin credible to a sophisticated PE buyer rather than a red flag.

Explaining the intentional revenue ceiling. A business doing $1.8M in revenue with $860K in EBITDA raises an immediate question from any buyer: why is revenue this low if margins are this high? The answer — that the owner was deliberately declining new construction bids, had stopped offering HVAC services, and was spending less than 5% on advertising by design — needed to be presented not as a weakness but as what it actually was: a compression of revenue that masked genuine platform value. Framing the growth opportunity accurately, with specifics on the HVAC reactivation potential, the incoming RFPs being declined, and the 24,000+ customer database sitting idle, was essential to getting buyers to the right number.

Finding the right buyer profile. A business with a ~50% EBITDA margin, a complex addback schedule, a heavily commercial customer base, and meaningful growth optionality is not the right fit for a first-time individual buyer. It required a buyer with the financial sophistication to underwrite the true earnings, the operational capability to capture the growth, and the capital structure to support a creative multi-component deal. A PE firm with a commercial services thesis was the right answer, and finding that buyer required targeting the right part of the market.

Structuring a deal that worked for both sides. The seller needed liquidity, income continuity, and the knowledge that the business would be in capable hands. The buyer needed to manage upfront capital, retain the founder’s knowledge during transition, and align incentives through close. The 90/10 equity split with a 24-month buyout, the seller note, and the employment arrangement addressed all of those needs simultaneously. None of it was standard, all of it was negotiated specifically to reflect the circumstances of this business and these parties.

The Outcome

The business sold at $4.4M in total consideration, $400K above the original asking price.

The founder received $3M at closing, began a $150K/year employment arrangement, held 10% equity for 24 months while a $1M note was being repaid, and completed his full exit with a final $400K payment at the end of the transition period.

He moved to Florida. He stayed involved in a defined, compensated capacity for two years. He was paid fairly for something he had spent nearly two decades building. And the business went to a buyer with the resources and strategic intent to grow it.

The PE firm acquired a platform with $860K in annual earnings, a 24,000-customer base, ongoing commercial relationships with national franchise clients, and three clear, near-term growth levers. They got the founder’s active participation through the most critical phase of the transition. And they got a deal structure that preserved their capital for operational investment rather than concentrating it all at close.

Why This Deal Worked

The business was exceptional — but exceptional businesses don’t automatically sell at exceptional valuations. They sell at exceptional valuations when they are positioned, documented, and presented in a way that allows the right buyer to understand exactly what they’re acquiring.

The EBITDA margin needed explaining. The revenue trajectory needed context. The addbacks needed documentation. The growth opportunity needed to be specific, not vague. And the deal structure needed to be creative enough to bridge the gap between what the seller needed and what the buyer was willing to put up at close.

All of that preparation is what produced a $4.4M outcome on a business with $1.8M in revenue. The math only works when every element of the business’s true value is clearly and credibly communicated — and when the deal structure is built around the actual needs of both parties rather than a template.

The Lesson for Business Owners

A business running at ~50% EBITDA margins, with 24,000 customers, ongoing relationships with national franchise clients, and a founder who has spent two decades saying no to growth — that business has real, compounding value that a surface-level read of the financials will never capture.

The question is whether a buyer can see it.

That depends entirely on how the business is prepared, packaged, and presented. The addbacks have to be documented to the penny. The growth story has to be specific and credible. The right buyer has to be targeted — not the broadest possible audience, but the buyer whose thesis aligns with what this business actually is.

This transaction closed at $4.4M. It closed above asking. It closed with a structure that gave the seller income continuity, a defined exit timeline, and total proceeds that reflected decades of genuine value creation.

That is the outcome good advisory work produces. And it is the standard the Captyx team brings to every engagement.
